Please read these terms carefully before using the Verdian Ag platform. They govern your access and use of our services.

By accessing and using Verdian's Institutional Credit Middleware ("Service"), you accept and agree to be bound by these terms. These terms constitute a legally binding agreement between you and Verdian Ag. If you do not agree to these terms, you must not access or use the Service.
2. Description of Service
Verdian provides an enterprise-grade financial technology platform offering orbital risk intelligence, credit-decision support signals, and IFRS 9 compliant reporting. The Service is designed as a primary data source for institutional lenders and insurers to perform credit assessments, stress testing, and real-time portfolio monitoring.
3. User Accounts & Institutional Security
You are responsible for maintaining the confidentiality of your institutional account credentials. You agree to provide accurate, current, and complete information during registration. You are fully responsible for all activities that occur under your account, including credit-sensitive data transmissions.
4. Financial Data, Ownership & Audit Trails
Verdian maintains a cryptographically signed audit trail for all data inputs and risk score adjustments. While raw performance data remains the property of the originator, by using the Service, you grant Verdian a license to process this data into financial intelligence. Enabling 'Lender Visibility' constitutes a formal authorization to transmit performance-linked credit signals to financial institutions for underwriting and risk management.
5. Intellectual Property & Scoring Methodologies
The Verdian platform, including the Verdian Score™ methodology, specific credit-risk processing algorithms, and proprietary stress-testing engines, is the exclusive property of Verdian. You are granted a limited license for institutional assessments and regulatory compliance reporting.
6. Credit Assessment & Outcome Disclaimer
Verdian provides technical risk intelligence and decision-support signals. Verdian is NOT a lender, broker, or financial advisor. We do not guarantee loan approvals, specific interest rates, or financial performance. All credit decisions are the sole responsibility of the lending institution.
7. Data Fidelity & Sourcing
The Service aggregates data from high-cadence orbital constellations and ground-truth sensing networks. While we implement rigorous quality controls for financial-grade data, reliance on third-party sensor outputs is subject to the limitations set forth in Section 12.
8. Acceptable Use & Anti-Fraud Policy
You agree not to misuse the Service, including attempts to manipulate credit scores, provide fraudulent performance data to influence lending outcomes, or reverse-engineer proprietary risk models.
9. Regulatory Compliance & IFRS 9
Verdian provides tools designed to assist institutions with IFRS 9 expected credit loss (ECL) modeling and environmental risk reporting. However, users are responsible for ensuring that their use of Verdian data complies with local banking regulations and institutional policy.
10. Limitation of Liability
To the maximum extent permitted by law, Verdian shall not be liable for any financial losses, bad debt, or investment results arising from the use of its risk intelligence signals. Our liability is restricted to the technical availability of the data platform.
11. Indemnification
You agree to indemnify, defend, and hold harmless Verdian and its officers from and against any claims, liabilities, or damages arising out of your use of the Service, your violation of these Terms, or the submission of fraudulent financial or agricultural data.
12. Third-Party Content & Banking Integrations
The Service may integrate with core banking systems and third-party data providers. Verdian is not responsible for the uptime or accuracy of external financial systems or third-party sensor constellations.
13. Termination
Either party may terminate this agreement at any time. Upon termination, access to live risk monitoring will cease, though audit logs will be retained as required by financial regulatory standards.
14. Governing Law
These terms are governed by the laws of Zimbabwe. Any disputes arising from these terms will be resolved through the appropriate legal channels in Harare, Zimbabwe.
